Terms of use.

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or your organization. By using the Services, you represent that you meet these requirements.

Mindspan Labs provides AI transformation advisory services, including:

• The AI Transformation Flywheel Diagnostic — an online assessment that evaluates organizational AI readiness across four dimensions
• Research-based content including whitepapers, insights articles, and frameworks
• AI-generated personalized analysis of diagnostic results
• Advisory and consulting engagement inquiries

Accuracy of responses. You agree to provide truthful and accurate responses to the diagnostic assessment. The quality of your results depends on the accuracy of your input.

Not professional advice. Diagnostic results, archetype classifications, action plans, and AI-generated narratives are informational and educational. They do not constitute professional consulting, legal, financial, or strategic advice. Results are generated from research-based frameworks and should be evaluated in the context of your organization’s specific circumstances.

Access codes. Your diagnostic results are protected by an access code sent to the email address you provide. You are responsible for safeguarding your access code. Sharing your access code with others grants them access to your results.

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the data practices described in the Privacy Policy.

Our content.All content on the Services — including text, graphics, frameworks, methodologies, diagnostic instruments, scoring models, research compilations, logos, and software — is owned by or licensed to DGT Global, LLC and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our written permission.

Your results. Your personalized diagnostic results (scores, archetype, action plan, and AI narrative) are generated for your use. You may share, print, or distribute your own results within your organization. You may not represent our diagnostic methodology, frameworks, or research compilations as your own.

Anonymous data. As described in our Privacy Policy, we retain the right to anonymize and aggregate data from diagnostic responses for research, benchmarking, and improvement of our services.

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws
• Submit false, misleading, or fraudulent information
• Attempt to gain unauthorized access to any part of the Services, other users’ accounts, or our systems
• Use automated tools (bots, scrapers, crawlers) to access or extract data from the Services without permission
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or attempt to extract the source code of the Services
• Resell, redistribute, or commercially exploit the Services or any content without authorization

The Services integrate with third-party providers including Anthropic (AI analysis), Resend (email delivery), Vercel (hosting), and Supabase (data storage). Your use of the Services may be subject to the terms and privacy policies of these providers. We are not responsible for the practices of third-party services.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Diagnostic results are based on self-reported data and research-derived frameworks. We do not guarantee the accuracy, completeness, or applicability of any results, recommendations, or AI-generated analysis to your specific situation.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DGT GLOBAL, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless DGT Global, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, violation of these Terms, or infringement of any third party’s rights.

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Services after changes constitutes acceptance of the updated Terms.

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Sections 5, 8, 9, 10, and 13 survive termination.

These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in King County, Washington.
